1. Definitions.

2. Eligibility.

   To be eligible to use Blend, you must be at least 18-years-old and a United States resident. All others are prohibited from using Blend. You must be an authorized representative if you use this site on behalf of the company, entity or organization, and you must be able to bind the company to the Terms of Service (which you herby exercise).

3. Changes to the Terms of Service.

   These Terms of Service may be changed periodically. We will notify you of these changes by posting a revised version on this webpage with an indication at the top of when the revisions were made. Be sure to revisit these Terms of Service often to stay abreast of any changes that will be binding to you through use of the site. 4. User Accounts.

   In order to fully utilize Blend, it may be required that you create a Facebook account or login to Blend using your Facebook account. It is your responsibility to maintain the confidentiality of your account's password, and any activity associated with your account is your responsibility. You are in agreement that you will notify us immediately regarding any unauthorized use of your account. Your account may be closed at any time for any or no reason at our discretion.

   1. An account used for personal, non-commercial use is considered a “Personal Account.” When you create a Personal Account, we ask that you please provide accurate and complete information about yourself in order to maintain your credibility as a site contributor. You may not create multiple personal accounts, provide an email address that is not your own or impersonate someone else, be it a celebrity or your next-door neighbor.
   2. An account that is used for the sole purpose of representing a business is known as a “Business Account.” To create a Business Account, your business must have a Facebook account, and you must be an authorized representative of your company or entity. Accurate and complete information about yourself and the business must be provided. You may not create multiple Business Accounts or use any email address that does not belong to you.

5. Use of the Site.

   You are granted permission to use this Site under the restrictions described in these Terms of Service. It's possible that you could be exposed to content which is offensive, indecent, inaccurate, objectionable or otherwise inappropriate. This content is not endorsed by Blend, and we do not vouch for the accuracy of it.

6. Restrictions on Use.

   You are in agreement that you will not, nor will you assist or enable others to:

   1. use Blend for the purposes or advocacy of harassing another person, to threaten, stalk, defraud or incite or interfere with another person's use of the Site;
   2. use Blend in a commercial or promotional matter, unless expressly allowed in writing by Blend.
   3. use Blend in a way that might create a conflict of interest. This includes solicitation of reviews or trading reviews with other businesses;
   4. use Blend for the purpose of keyword spamming or making an attempt to manipulate natural search results;
   5. use Blend for bigoted or discriminatory purposes;
   6. use Blend in a way that violates the rights of any third-parties, including breaching confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity or any other right, intellectual or proprietary.
   7. use Blend for submission or transmission of pornographic or illegal content;
   8. use Blend for solicitation of information from minors, or in a way that could cause harm or threaten minors;
   9. violate the Blend Terms of Service or any applicable law;
   10. exploit the Site or Site Content (other than Your Content) on Blend through modification, adaptation, reproduction, distribution, translation, sale, trade or creation of derivative works or adaptations of Site Content or the Site itself.
   11. reverse engineer any part of Blend, except as permitted under law;
   12. change or remove any part of the copyright, trademark or other proprietary rights notice on Blend or on any materials printed or copied off the Site;
   13. mine, record or process information about other Site users;
   14. use any automated device, robot, spider, site search/retrieval application or process as a means to access, scrape or index this Site or its Content;
   15. index, access or retrieve this site for the purpose of building or populating a database of business-focused reviews;
   16. frame or reformat any part of Blend;
   17. take any action that will impose, or may even possibly impose in our discretion, a load that is unreasonable or too large on Blend's technology infrastructure;
   18. Attempt to gain unauthorized access to Blend, user accounts, computer ystems or even networks connected to the Site by means of hacking, password mining or any other illegal or unethical means; use Blend or its content as a means of transmitting viruses, worms, Trojan horses or any other potentially destructive items (collectively, “Viruses”); interfere with the proper working order of the site through use of any devices, software or routine; make excessive traffic demands; use the site to crack passwords or security encryption codes, disrupt or interfere with security, or otherwise use the site for any purpose that interferes with security or causes harm to the Site or Site Content; work around or remove, disable, damage or interfere in any way with any of Blend's security features, as these features prevent unauthorized copying of Site Content and enforce limitations on site use.

7. Permission to Use Your Content.

   Your Content may be used in a variety of ways, including display on Blend, incorporation into other works, creation of derivative works, promotion, distribution and allowing others to do the same in connection with their own websites and media platforms (“Other Media”). You irrevocably grant us permission to use Your Content for any purpose. You are also granting the Site and users of Other Media the right to access Your Content in connection with their use of the Site and any Other Media. Any moral rights or attribution claims or assertions with respect to Your Content are irrevocably waived.

8. Responsibility for Your Content.

   Your Content is the responsibility of you and you alone. Any and all risks associated with Your content are assumed by you, including reliance on accuracy, completeness or usefulness, as well as any disclosure that could personally identify you. By posting content on Blend, you represent the content is owned or that you retain the proper permission to use and authorize use of Your Content. In no way may you imply that Your Content is endorsed or sponsored by Blend.

   If Your Content violates any third-party right, which includes copyright, patent, trademark, trade secret, moral right, privacy right, publicity right or any other right, intellectual or proprietary, if Your Content contains false or intentionally misleading information, defamatory information, contains unlawful information – information containing hate speech or pornography – information that harms or exploits minors or violates or even advocates violation of laws or regulation, you may be exposed to liability.

9. Use of Content.

   At our discretion, User Content may be removed or reinstated from time to time. If we determine content is in violation of our Terms of Service or inappropriate in any way, we may remove it. You are not entitled to any compensation for advertisements that run alongside or anywhere within Your Content, and the manner, mode and extent of advertising are subject to change without notice.

10. Content Feeds.

    Some of the Site Content (also “Feed Content”) is made available through Real Simple Syndication (RSS) and Atom feeds (the “Feeds”). Feeds may be accessed in order to display Feed Content on your PC, website or blog, provided that (a) use of the Feeds is not commercial and personal only, (b) display provides links back to relevant pages on the Site, with attribution to Blend as the source, (c) you do not suggest through use or display of Feed Content that Blend endorses or promotes any third-party causes, ideas, websites, products or services, (d) the Feed Content is not redistributed and (f) Blend's systems are not overburdened by your use of the Feeds. Blend reserves the right to terminate the Feeds at any time.

11. Site Availability.

    Blend reserves the right to make any modifications or updates, or even discontinue The Site at our discretion, at any time for any or no reason and without notice or liability.

12. Unauthorized Access.

    Regarding unauthorized use of Blend, we are in reservation of the right to exercise any means necessary in prevention of unauthorized access to the Site, including IP mapping, contacting your Internet Service Provider (ISP) and use of technological barriers.

13. Investigations.

    Blend is not obligated to monitor the Site or its Content. However, if we believe there has been a possible violation of the Terms of Service, we reserve the right to investigate, block users from the Site and even refer matters to the proper law enforcement authorities. Information may be disclosed, including Your Content, in order to comply with the Privacy Policy, listed here.

14. Feedback.

    1. Dissatisfaction. If the site experience has dissatisfied you in any way, please let us know through our contact us page. The only other way to remedy any dissatisfaction with (i) the Site, (ii) the Terms of Service, (iii) any of our policies or practices in operating Blend, or (iv) any information or content transmitted through the site, is to terminate your account.
    2. Site Improvements or Suggestions. If you have ideas on how we can improve the site or your user experience, we'd love to hear them. By sending us suggestions or ideas, documents or proposals (“Feedback”), you are in agreement that (i) there is no confidential or proprietary information regarding third parties contained in your Feedback, (ii) with respect to the Feedback, Blend is under no obligation of confidentiality, express or implied, (iii) similar Feedback may be in development or under consideration, and (iv) Blend is granted an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.

15. Termination.

    Your account or ability to use the Site, in whole or in part, may be suspended or terminated at any time, at our discretion, for any or no reason and without notice or liability of any kind. For example, if you breach our Terms of Service, or we suspect you are involved in illegal activity, your account may be terminated or suspended. If your account is terminated or suspended, you could be prevented from accessing it, as well as accessing Your Content, the Site Content or related information.

16. Ownership.

    The Blend content, which includes all visual interfaces, any interactive features, graphics, designs, compilations, computer code, products, software, aggregate user reviews and ratings, and all other elements of Blend, including user and third-party content, is owned by us. All copyrights, trademarks, service marks, trade names and intellectual and proprietary rights throughout the world (the “IP Rights”) that are associated in any way with Blend, its content or the site itself, are also owned by us and are protected by trademark, patent and trade dress laws, as well as all applicable intellectual and proprietary rights and laws. Because of this, you are not allowed to change, distribute, reproduce, create derivitave works or adaptations of, publicly display or exploit the Blend content, in whole or part, unless expressly authorized by us, in any way. You are not granted any express or implied rights, unless provided herein, and all rights in and to Blend and the Site Content are retained by us.

17. Warranties, Disclaimers, and Limitations of Liability.

    3. ANY AND ALL LIABILITY FOR LOSS OR DAMAGE DUE TO THE USE OF THE SITE AND SITE CONTENT IS FURTHER DISCLAIMED BY BLEND. THE MAXIMUM AGGREGATE LIABILITY TO YOU FROM BLEND AT ALL TIMES FOR ANY CAUSES WHATSOEVER, REGARDLESS OF THE FORM OF ACTION (INCLUDING NEGLIGENCE, BREACH OF CONTRACT, MISREPRESENTATION OR ANY OTHER REASON) WILL BE LIMITED TO THE GREATER OF (I) THE AMOUNT PAID TO THE SITE IN CONNECTION WITH BLEND IN THE 12 MONTHS PRIOR TO THE OFFENDING ACTION OR (II) U.S. $100.00.

18. Indemnity.

    You are agreed that you will indemnify and hold Blend and any of its parents, subsidiaries, related companies, licensors, affiliates, suppliers and partners, as well as the officers, directors, employees, agents and representatives of each of these entities harmless, which includes, but is not limited to costs, liabilities and legal fees, from any demand or claim made by a third-party arising from (i) your use or access to Blend, (ii) your Terms of Service violation, (iii) any infringement by you or a third party that may be using your account, of any property, intellectual or other right of any person or entity. You agree to cooperate with claims, as Blend, at your expense, reserves the right to assume exclusive defense and control of any matter which you are required to indemnify us. You may not settle any matter without prior, written consent from Blend. Blend will notify you of any claim, action or proceeding, with reasonable efforts upon becoming aware of it.

19. Third Parties.

    1. Links to other websites may be included on Blend (“Third Party Sites”). None of these Third Party Sites are endorsed or controlled by us, and you agree that responsibility for content of such Third Party Sites is not the responsibility of Blend.
    2. 20. Miscellaneous.

    1. You are in agreement that any dispute regarding or involving Blend will be governed by the State of California, without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in San Francisco County, California state and federal courts.
    2. These Terms of Service do not create any employment, joint venture, partnership or agency, nor do you have the authority to bind Blend in any way whatsoever.
    3. You may be provided with notices, including notification of changes to the Terms of Service, by email, regular mail or posting on this site.
    4. Nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party, except as noted in Section 20 above.
    5. The entire agreement between you and us regarding site use is contained in the Terms of Service, wich supersede any agreement that was made prior between you and us on subject matter contained herein. It is acknowledged by both parties that no reliance is placed on any representation made, but not expressly contained in these Terms of Service.
